1. License Grant
Subject to payment of the license fee ($500 USD per construct) and Licensee's ongoing compliance with all terms herein, Scoville Splice grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to: (a) use the licensed genetic construct file(s) (FASTA sequences, CRISPR guide sets, FBA models, and associated datasheets) solely for internal, non-commercial research purposes; and (b) use the construct as a research tool to study gene function, metabolic pathways, or plant biology in controlled laboratory settings.
2. Permitted Uses
Under this RUO License, Licensee may: synthesize or order physical copies of the licensed construct for use in Licensee's own laboratory; use the construct to conduct experiments, generate data, and publish findings in peer-reviewed scientific journals (subject to Section 6); modify the construct for internal research purposes (modifications are subject to all restrictions in this license and do not expand the scope of permitted uses); include construct information in grant applications and internal reports.
3. Restrictions
Licensee expressly agrees that it will NOT: use the construct or data derived therefrom for any commercial purpose, including contract research, fee-for-service work, product development, manufacturing, or sale; transfer, sublicense, distribute, or disclose the construct or derived materials to any third party; use the construct in any in vivo human application; use the construct as a service offered to third parties; use the construct outside the biosafety and containment requirements specified in the accompanying datasheet; use the construct in research that constitutes Dual-Use Research of Concern as defined by U.S. federal policy.
4. Term and Termination
This license is perpetual for the permitted uses, unless terminated for breach. Upon any breach, the license terminates immediately without notice and Licensee must promptly destroy all copies of the construct files and derived materials. Scoville Splice may terminate this license upon 30 days' written notice if it determines, in its reasonable discretion, that continued use poses biosafety or legal risks.
5. Fees
The license fee is $500 USD per construct, payable at the time of purchase. No annual renewal fee applies. Pro and Designer platform subscribers receive a discount on RUO licenses as described in their subscription terms. Fees are non-refundable once the construct file has been delivered.
6. Publication Rights
Licensee may publish research results in scientific journals and conference proceedings, subject to: (a) notifying Scoville Splice at scovillesplice@gmail.com at least 30 days before submission to allow review for inadvertent disclosure of trade secrets; (b) acknowledging Scoville Splice in the acknowledgments section (suggested language: "Genetic constructs were licensed from Scoville Splice (scovillesplice.farm)"); (c) not disclosing the full construct sequence in a manner that would constitute prior art against any pending Scoville Splice patent application without prior written consent.
7. No Warranty; Limitation of Liability
CONSTRUCT FILES ARE PROVIDED "AS IS" FOR RESEARCH PURPOSES ONLY. SCOVILLE SPLICE MAKES NO WARRANTY THAT CONSTRUCTS WILL ACHIEVE ANY PARTICULAR EXPERIMENTAL RESULT OR THAT CRISPR GUIDES ARE FREE OF OFF-TARGET ACTIVITY. IN NO EVENT SHALL SCOVILLE SPLICE'S LIABILITY EXCEED THE LICENSE FEE PAID FOR THE AFFECTED CONSTRUCT.
8. Governing Law
This agreement is governed by the laws of the State of Delaware. Disputes are subject to binding arbitration under the Terms of Service.
